There are changes in the way that families arrange for succession of the family business, with it becoming more common for the older generation to pass control but not ownership of the business assets as a form of asset protection. This session considers the CGT and other tax issues that arise as a consequence and how these can be managed, including:

  • Inability to use the Division 152 retirement exemption and 15 year exemption

  • Disqualification as a small business entity at the time that the CGT event is triggered

  • Contractual strategies to safeguard interests and for asset protection purposes:

    • leases with options

    • binding financial agreements

    • mortgage and vendor finance

  • Practical examples:

    • what happens if a beneficiary buys assets out of the estate – does this qualify for a rollover?

    • application of Division 128 to pre-CGT assets or bonus/free shares
