Succession planning may involve passing control of business or investment entities over to the next generation. This may be during the lifetime of those passing the control or by way of estate planning on death. Either way, consideration of the tax implications should be a significant part of the process. This session explores these issues, including:

  • Restructuring options available and the tax consequences, including:
  • using CGT rollovers and interposing a new company to manage dividend payments and “top up” tax
  • whether a two step restructure/rollover process to achieve a result could attract a part IVA issue?
  • Timing of CGT event when a binding agreement is entered into (Confidential and Commissioner of Taxation [2013] AATA 76 (15 February 2013))
  • Strategies for trust assets and adult children wanting to go separate ways
  • Issues to consider for pre CGT assets in a:
  • trust
  • a company – can liquidation be useful?
  • Family trust and interposed entity election issues
  • Unbundling assets – when can a share buy back be a useful option?
  • Can the principle used in Fischer v Nemeske Pty Ltd [2016] HCA 11 be used to earmark funds in a trust for particular beneficiaries on death of testator?

Adrian lives in Sydney and is the Managing Principal of Cleary Hoare. He joined Cleary Hoare in 2007 and became a Principal in 2011.

Adrian holds a Masters of Taxation and is a Chartered Tax Adviser with the Taxation Institute of Australia. He has had involvement with a number of committees for the Taxation Institute of Australia, NSW Law Society Revenue Committee as well as the Board of Taxation small business working group in relation to tax reform. He regularly gives presentations directly to clients, accountants, financial planners and lawyers on all areas of the law that Cleary Hoare practice in and is a preferred speaker for CPA Australia.

Adrian particularly enjoys working in structuring client's and dealing with their estate & succession planning as well as commercial law issues.
