This session explores what proper due diligence for rural property and businesses means, the role lawyers should play to assist their clients enter into these transactions with their eyes wide open and how to upsell your services to clients in this area. It covers:

  • What is meant by proper due diligence in the context of rural property and farming businesses
  • What inquiries should be made (and how) to identify rights and interests attaching to and potential restrictions regarding the intended use of the land including water rights and licenses, permanence obligations under the Act, contamination issues, zoning issues, and easements
  • How to properly interpret documentation obtained during due diligence and knowing when information or documents are needed
  • Understanding the nature of legal and equitable rights and interests that may impact on the enjoyment or use of the land, including carbon rights

Georgiena Ryan is the founder of Regional Business Lawyers, a boutique practice based in Wagga Wagga in southern regional NSW.

The firm’s focus is property, water law, commercial law, business structuring and succession. The firm’s property expertise is large and complex rural property transactions, working with both rural family businesses and corporate clients.  Georgiena has undertaken rural property purchases in NSW, Queensland and Victoria.

Georgiena has had the privilege of working with amazing family businesses as a solicitor in Goondiwindi and southern NSW. Georgiena was the In-house Rural Legal Counsel for a specialist international rural and agribusiness bank, working closely with the rural finance managers across Australia and New Zealand and with the bank’s General Counsel and Group Company Secretary in Sydney.

She also spent five years as the Legal and Compliance Manager and In-house Legal Counsel for a leading global agricultural asset manager, responsible for one of Australia’s most significant irrigation and dryland farming portfolios.
