This session examines some of the practical consequences of these changes and other associated issues that have arisen in practice with the small business CGT concessions, including:

  • How do the concessions apply to share sales depending on whether the shares are held by the family trust or another trust?

    • Does the shareholder entity satisfy the look through requirements?

    • Does the object entity satisfy the active asset test?

  • Does using a related party banker affect the analysis for the active asset test?

  • How do the concessions apply if two spouses carry on separate businesses? Identifying passive and personal assets

  • Deferred consideration (e.g. earnouts) and its impact on the application of the concessional rules

    • Claiming election under 152-B versus 152C

    • What happens when earnout timing is delayed by dispute between vendor and purchaser? What happens if earnout terms are amended as part of negotiations?

Matthew McKee is an experienced tax and superannuation lawyer who regularly provides tax and commercial related advice to accountants, financial planners, small to medium enterprises and private clients. Matthew has a particular expertise in New South Wales state taxes (duties, payroll tax and land tax) but advises on all aspects of taxation law, including income tax, capital gains tax (CGT), GST and the SIS Act.

Matthew has experience in resolving of taxation disputes, including:

  • Managing Australian Taxation Office (ATO)/ Revenue NSW audits and investigations, voluntary disclosures;
  • Preparing taxation objections and private ruling applications;
  • Conducting tax litigation in the Administrative Appeals Tribunal and Federal Court of Australia, the NSW Civil and Administrative Tribunal and Supreme Court of New South Wales; and
  • Negotiating settlements and payment arrangements with the ATO and Revenue NSW.

Matthew also provides advice on trusts and structuring as well as commercial issues including asset and business acquisitions and disposals, share sale agreements, shareholder and joint venture agreements.
